1. Acceptance of Terms
By accessing or using the managed infrastructure and software services (“Services”) provided by Konnio Technology LLC (“Konnio”, “we”, “us”, or “our”), you (“Client”, “you”, or “your”) agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms.
2. Description of Services
Konnio Technology LLC operates as a Managed Service Provider (MSP), delivering managed open-source software solutions (including, but not limited to, Konnio Marketing Automation, Konnio CRM, Konnio eCommerce, and Konnio LMS) deployed on premium cloud infrastructure. Our Services include server provisioning, automated maintenance, security patching, and automated backups as described in your specific service plan.
3. Data Ownership and Portability
We believe in complete data sovereignty. You retain 100% ownership, title, and interest in all data, content, and intellectual property you upload, process, or store within our Services (“Client Data”). Konnio claims no ownership rights over your Client Data. Upon termination of your account, you will be provided with a reasonable window to export your database and files.
4. Security and Backups
We employ enterprise-grade security measures, including zero-trust network isolation and proactive threat mitigation, to protect your infrastructure. While we perform regular automated backups for disaster recovery, the Client remains ultimately responsible for maintaining its own independent backups of Client Data. Konnio is not liable for data loss resulting from user error, malicious third-party acts against the Client’s application level, or unrecoverable hardware failures at the data center level.
5. Client Responsibilities and Acceptable Use
You agree to use our Services only for lawful business purposes. You are strictly prohibited from using the infrastructure to:
- Send unsolicited bulk email (SPAM) or violate the CAN-SPAM Act or GDPR.
- Host, distribute, or process malicious code (malware, ransomware, etc.).
- Attempt to breach, probe, or disrupt the security of any Konnio network or third-party system.
- Host illegal, copyright-infringing, or highly regulated adult content. Violation of this Acceptable Use Policy (AUP) may result in immediate suspension or termination of your Services without a refund.
6. Billing, Payments, and Cancellation
- Fees: Services are billed on a recurring subscription basis (monthly or annually) according to the flat-fee plan selected at checkout.
- Payment: All payments are due before the service period. Failure to process payment may result in the automated suspension of your instance.
- Cancellation: You may cancel your subscription at any time via your client portal. Cancellations take effect at the end of the current billing cycle. We do not provide prorated refunds for partial months of service.
7. Service Level Agreement (SLA) and Uptime Guarantee
7.1 Uptime Commitment
Konnio Technology LLC guarantees 99.9% monthly uptime for all managed applications and network infrastructure. This equates to no more than approximately 43 minutes of unscheduled downtime per calendar month.
7.2 Exclusions
Our uptime guarantee applies strictly to the underlying cloud infrastructure and network availability. It does not apply to downtime caused by:
- Scheduled maintenance windows (which will be communicated at least 48 hours in advance).
- Client-initiated reboots, misconfigurations within the application, or custom code deployments.
- Force Majeure events, including natural disasters, acts of war, or massive, global internet routing failures outside of Konnio’s control.
7.3 Service Credits
If we fail to meet the 99.9% uptime guarantee in a given calendar month, you are eligible to request a Service Credit. The credit will be calculated as 5% of your total monthly base fee for each 30-minute period of excess downtime, up to a maximum of 100% of the monthly fee.
7.4 Claiming Credits
To receive a service credit, the Client must submit a request to our support team within seven (7) days of the incident. Service credits hold no cash value, cannot be transferred, and will be applied exclusively to future billing cycles.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Konnio Technology LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill, arising out of or related to your use of the Services. In no event shall our total aggregate liability exceed the total amount paid by you to us for the Services during the three (3) months immediately preceding the claim.
9. Governing Law
These Terms of Service and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any legal action or proceeding shall be brought exclusively in the state or federal courts located in Florida.
10. Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify you of any material changes via email or through a prominent notice on our website. Continued use of the Services after any such changes constitutes your acceptance of the new Terms.
